Introduction
1.1 This website is owned and operated by by Reselix.
1.2 These Website Terms of Use (“Terms”) govern the use of the Reselix , including its content, software, and services offered through it. By using the Reselix, you accept and agree to be bound by the Terms. If you disagree with the Terms or any changes that are made to them, you should discontinue your use of the Reselix.
1.3 Please read these Terms carefully. They cancel and replace any previous versions. Please print or save these Terms for future use as Reselix cannot guarantee that they will remain accessible on the Reselix in the future.
1.4 These Terms accompany other contracts, guidelines, and policies which Reselix may publish from time to time.
1.5 Subject to 1.6 (below), in the case of any conflict, these Terms shall prevail over other guidelines and policies on the Reselix.
1.6 These Terms apply to all natural and legal persons that interact with the Reselix for any reason. Whilst the Reselix Seller Terms apply to those selling on the Reselix Marketplace, and the Reselix Customer Terms (itself incorporated into the Seller Terms) applies to those buying via the Reselix Marketplace, these contracts do not invalidate the Terms. Where the Seller Terms and Customer Terms (either or both) apply, if any clauses within those contracts conflict with these Terms, the clause in those contracts shall prevail over these Terms.
1.7 All products displayed on the Reselix Marketplace are sold by third-party independent sellers. Reselix is neither the buyer nor the seller of the products. Reselix provides the platform and acts as a commercial agent for the sellers but not the customers. Reselix’s agreements with sellers authorize Reselix to conclude the sale of products to customers. This means that the sellers have permitted Reselix to bind the sellers to a sale of products. A contract formed on the completion of a sale of a product is made solely between the customer and the seller. Reselix is not a party to such a contract, nor does Reselix exert direct control over products or deliveries. When payment is made by a customer, the funds are paid to Reselix in its role as a commercial agent for the seller. Payment by the customer to Reselix settles the debt owed by the Customer to the seller. Any refund the customer is entitled to will be made by the Seller via the same payment method used by the customer to make payment. In the event of sellers failing to comply with the Seller Terms, Reselix undertakes to process the refunds due to Customers on behalf of Sellers. All purchases made via the Reselix Marketplace are automatically covered by Reselix Protection.
1.8 In consideration of your use of the Reselix Marketplace you agree to:
(a) provide true, accurate, current, and complete information about yourself at all times;
(b) adhere to these Terms and other policies included on the Reselix Marketplace.
2. Changes to the Terms
2.1 Reselix may change these Terms of Use by posting the revised version on the Reselix Marketplace at any time. Please check the Reselix Marketplace from time to time. You will be bound by the revised Terms if you continue to use the Reselix Marketplace following the effective date of such changes.
2.2 Unless explicitly stated otherwise, any new feature, development, or release of new properties to the Reselix Marketplace shall be subject to these Terms (or as amended).
3. Privacy Policy
3.1 Data relating to your Reselix account and other information about you is subject to the Reselix Privacy and Cookies Policy.
4. Acceptable Use Policy
4.1 You agree that you will not, in connection with the Reselix Marketplace:
4.1.1 breach any applicable law, regulation, or code of conduct, or infringe any intellectual property or other rights of Reselix or third parties’ rights;
4.1.2 publish or send any information (including links or references to other content) or otherwise behave in a way, which:
4.1.3 is unlawful, fraudulent, deceptive, defamatory, threatening, harassing, invasive of privacy, offensive, vulgar, racist, hateful, discriminatory, obscene, pornographic, sexually suggestive, promoting of self-harm, misleading, abusive, or deceptive;
4.1.4 involves phishing or scamming or similar; or
4.1.5 publish or send any information which involves revealing any personal data of another person (i.e., information enabling someone to be identified or contacted) unless that person is 18 years or over and you have obtained that person’s explicit written consent, or you are the parent/guardian of such person;
4.1.6 impersonate any person or entity for the purpose of misleading others;
4.1.7 reproduce, copy, sell or resell access to the Reselix Marketplace;
4.1.8 use the Reselix Marketplace to provide a similar service to third parties or otherwise with a view to competing with Reselix;
4.1.9 sell advertising, sponsorship or promotions on or in connection with content except where explicitly authorised by Reselix;
4.1.10 use the Reselix Marketplace for junk mail, spam, pyramid or similar or fraudulent schemes;
4.1.11 do anything which may have the effect of disrupting the Reselix Marketplace including worms, viruses, software bombs, mass mailings, disproportionate or vexatious use of Reselix’s Customer Care Team;
4.1.12 use the Reselix Marketplace to send abusive, sexually explicit or discriminatory messages to Reselix or third parties;
4.1.13 gain unauthorised access to any part of the Reselix Marketplace or anything connected to it;
4.1.14 use any automated means to interact with Reselix’s systems excluding public search engines;
4.1.15 do anything which Reselix reasonably believes is inappropriate or may negatively affect other users’ enjoyment of the Reselix Marketplace; and
4.1.16 attempt, encourage, or assist any of the above.
5. Content
5.1 You acknowledge that any information published or sent on or via the Reselix Marketplace by other users is the sole responsibility of the person who created such content.
5.2 Reselix cannot guarantee that any general information that it may make available on the Reselix Marketplace is accurate or up to date. You rely on it at your own risk.
5.3 Reselix reserves the right, without notice or refund, to suspend, alter, remove, or delete content or to disclose to the relevant authorities or to a complainant any content or behaviour if it is the subject of a complaint or where Reselix has reason to believe that it breaches these Terms, or that such steps are necessary to protect Reselix or others, or that a criminal act has been committed, or if Reselix is required to do so by law or appropriate authority.
6. Privacy
6.1 You acknowledge and agree that Reselix may process your personal data in accordance with the terms of our Reselix Privacy and Cookies Policy, which is subject to change from time to time.
7. Functioning of the Reselix Marketplace
7.1 Reselix does not guarantee that the Reselix Marketplace will be uninterrupted or error-free. Reselix is not responsible for any losses arising from such errors or interruptions. Reselix reserves the right, without notice and without liability, to suspend the Reselix Marketplace for repair, maintenance, improvement, or any other technical reasons.
8. Your Account
8.1 If Reselix permits you to create an account on the Reselix Marketplace, this is for your individual use only and is non-transferable to third parties unless agreed by Reselix in writing. You must not authorise or permit any third party to use your account. You must take reasonable care to protect and keep confidential the account password and other account or identity information. You must notify Reselix immediately of any apparent breach of security such as loss, theft, misuse, or unauthorised disclosure or use of a password by contacting Reselix Help and Support Centre. You are responsible for third parties who use your account or identity (unless and to the extent that Reselix is at fault).
8.2 Reselix reserves the right to suspend or terminate a customer account (including deletion of data contained therein) and refuse any future use of the Reselix Marketplace (or any part thereof) in the event of a breach of any of these Terms.
9. Intellectual Property Rights
9.1 All trademarks, logos, content (including the Reselix Marketplace structure and layout), graphics, images, photographs, animation, videos, text, and software used on the Marketplace are Reselix intellectual property or that of its suppliers, partners, or other users. For the purposes of your personal use only, you may view such material on your screen and print a single copy. You may not otherwise use, sublicense, retrieve, display, modify, copy, print, sell, distribute, download, hire, reverse engineer (unless permitted by applicable law) or create extracts of, or derivative works from, such material without Reselix’s prior written consent.
9.2 Just to be clear – you must not collect, scrape, harvest, frame or deep-link to any information on the Reselix Marketplace without our specific prior written consent.
9.3 All
rights in Reselix Marketplace and its content are reserved by Reselix unless otherwise expressly granted.
10. Third Party Content and Links
10.1 Reselix Marketplace may display third-party content or links to third-party websites or other resources, such as payment providers. Reselix is not responsible for such third-party content or services, and does not endorse or recommend any product, service, or information contained therein unless expressly stated by Reselix. If you access such third-party websites, you do so at your own risk.
11. Liability
11.1 Nothing in these Terms shall limit Reselix’s liability for:
11.1.1 death or personal injury arising from Reselix’s negligence;
11.1.2 fraud or fraudulent misrepresentation; or
11.1.3 any other loss or damage for which liability cannot be excluded by applicable law.
11.2 Subject to clause 11.1, Reselix is not liable for:
11.2.1 indirect, consequential, or special losses or damages (including, but not limited to, loss of business, revenue, or profits, or any loss of opportunity) in each case even if such losses were reasonably foreseeable or if Reselix had been advised of the possibility of you incurring such losses;
11.2.2 the accuracy, completeness, or legality of any data, or content of any third party on the Reselix Marketplace;
11.2.3 any loss or damage arising from the use of, or reliance upon, the content of the Reselix Marketplace;
11.2.4 any errors or interruptions in the functioning of the Reselix Marketplace; or
11.2.5 any events beyond Reselix’s reasonable control, including, but not limited to, acts of God, war, terrorism, labor strikes, epidemics, pandemics, or failures in communication systems.
12. Indemnity
12.1 You agree to indemnify and hold harmless Reselix and its affiliates, directors, officers, employees, and agents from and against any and all claims, demands, liabilities, costs, or expenses, including legal fees, arising from your use of the Reselix Marketplace, your breach of these Terms, or your violation of any rights of another.
13. Governing Law and Jurisdiction
13.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Miscellaneous
14.1 If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
14.2 The failure by Reselix to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision of these Terms.
14.3 These Terms constitute the entire agreement between you and Reselix regarding your use of the Reselix Marketplace and supersede all prior agreements or understandings between you and Reselix, whether written or oral, relating to the subject matter of these Terms.
